Azure Migration Services Terms and Conditions (USA)

The first five (5) customers to sign up for the purchase of Cloud Connect from Aptum Technologies (USA) Inc. (“Aptum Technologies”) may be eligible to receive a credit of up to five thousand dollars ($5,000 USD) or twenty percent (20%) of their total contract value (“TCV”), whichever is lesser, to be applied towards Azure migration services (“Migration Credit”) performed in the United States of America. The Migration Credit only applies to Aptum Technologies approved and eligible customers and is non-transferable, nonrefundable, and has no intrinsic monetary value.

The Migration Credit may be used only for professional services and fees associated with the migration of eligible applications and workloads from existing infrastructure to Microsoft Azure and cannot be applied against any tariffs, taxes, infrastructure, Azure consumption, or any other non-migration activity.

The Migration Credit applies solely to the purchase of Aptum Technologies' Cloud Connect product and customers must enter into a twelve (12) month minimum contract with Aptum Technologies for Azure services in order to be eligible.

Further, the migration activities associated with the Migration Credit must be initiated within three (3) calendar months of the effective date of the applicable contract, otherwise the Migration Credit will be automatically forfeited.

Aptum Technologies reserves the right in its sole and absolute discretion to (i) determine eligibility for the Migration Credit and to refuse to issue a Migration Credit; (ii) modify the eligibility criteria for the Migration Credit at any time; and (iii) revoke or cancel any offer to provide the Migration Credit at any time prior to customer’s acceptance of an applicable contract and performance of all conditions of eligibility.

The Migration Credit will not apply if customer’s use or receipt of the credit violates any applicable law or regulation. The Migration Credit will be deemed void in the event of fraud, misuse, or violation of any of the terms of the customer’s contract for services with Aptum Technologies or if customer attempts to sell the Migration Credit for cash or other consideration. In addition to any other legal relief available to Aptum Technologies, customers must undertake to reimburse Aptum Technologies for the amount of any Migration Credit used in violation of these terms and conditions.

These terms and conditions will apply to any offer for Migration Credits made by Aptum Technologies and the resulting contract entered into between Aptum Technologies and eligible customers.
